We were incorporated as a joint stock limited company under PRC laws on
September 10, 2001. Our scope of business includes bauxite mining, the
production of alumina, primary aluminum and ancillary products, and provision of
engineering and construction services. Pursuant to a reorganization agreement
effective as of July 1, 2001 among Chinalco, Guangxi Investment, Guizhou
Development and us, as well as a mining rights agreement between Chinalco and
us, substantially all of Chinalco's alumina and primary aluminum production
operations, operations of the Research Institute, as well as mining operations
and mining rights of bauxite mines and other related assets and liabilities were
