Blyth, Inc. (together with its subsidiaries, the "Company," which may be
referred to as "we," "us" or "our") is a home expressions company competing
primarily in the home fragrance and decorative accessories industry. We design,
market and distribute an extensive array of candles, decorative accessories,
seasonal decorations and household convenience items, as well as chafing fuel,
tabletop lighting and accessories for the "away from home" or foodservice trade.
Our sales and operations take place primarily in the United States, Canada and
Europe, with additional activity in Mexico, Australia and the Far East.
Sale of Mass Channel Candle Business
In April 2007, we sold certain assets and liabilities of our Blyth
HomeScents International North American mass channel candle business ("BHI NA"),
which was part of the Wholesale segment. The net assets were sold for $25.3
million, inclusive of proceeds from the sale of overstock inventory of $1.3
