We are a provider of skilled nursing and rehabilitative care services through
the operation of facilities located in California, Arizona, Texas, Washington,
Utah and Idaho. As of December 31, 2007, we owned or leased 61 facilities. All
of our facilities are skilled nursing facilities, other than three stand-alone
assisted living facilities in Arizona and Texas and four campuses that offer
both skilled nursing and assisted living services in California, Arizona and
Utah. Our facilities, each of which strives to be the facility of choice in the
community it serves, provide a broad spectrum of skilled nursing, physical,
occupational and speech therapies, and other rehabilitative and healthcare
services and, in certain facilities, assisted living services, for both
long-term residents and short-stay rehabilitation patients. Our facilities have
