The Company at December 31, 2007, has one  wholly-owned subsidiary bank, The Citizens Savings Bank, Martins  Ferry, Ohio (CITIZENS). On July 1, 2007, the Company received  regulatory approval for the merger of its two wholly-owned  subsidiaries, The Glouster Community Bank ("Community"), Lancaster,  Ohio, and The Citizens Savings Bank ("Citizens"), Martins Ferry, Ohio,  under the charter of the latter.
