The Corporation was formed in 1974 as a bank holding company. During 2000, the
Corporation elected to become and remains a financial holding company under the
Gramm-Leach-Bliley Act of 1999 (GLB Act). The Corporation has four reportable
business segments: Community Banking, Wealth Management, Insurance and Consumer
Finance. As of December 31, 2007, the Corporation had 155 Community Banking
offices in Pennsylvania and Ohio and 54 Consumer Finance offices in those states
and Tennessee. The Corporation, through its Community Banking affiliate, also
had 6 commercial loan production offices in Pennsylvania and Florida and one
mortgage loan production office in Tennessee as of that date.
The Corporation, through its subsidiaries, provides a full range of financial
services, principally to consumers and small- to medium-sized businesses in its
