company and financial holding company under the Bank Holding Company Act of
1956, as amended, was incorporated under the laws of Delaware in 1986. Webster,
on a consolidated basis, at December 31, 2007 had assets of $17.2 billion and
shareholders? equity of $1.7 billion. Webster?s principal assets at December 31,
2007 were all of the outstanding capital stock of Webster Bank, National
Association (?Webster Bank?), and Webster Insurance, Inc. (?Webster Insurance?).
