Enstar Group Limited (formerly Castlewood Holdings Limited), referred to herein
as ?Enstar,? ?we,? ?us,? or ?our,? was formed in August 2001 under the laws of
Bermuda to acquire and manage insurance and reinsurance companies in run-off,
and to provide management, consulting and other services to the insurance and
reinsurance industry. On January 31, 2007, Enstar completed the merger, or the
Merger, of CWMS Subsidiary Corp., a Georgia corporation and wholly-owned
subsidiary of Enstar, or CWMS, with and into The Enstar Group Inc., a Georgia
corporation, or EGI. As a result of the Merger, EGI, renamed Enstar USA, Inc.,
