incorporated in the State of Washington in August 1997. We were organized for
the purpose of acquiring all of the capital stock of Heritage Savings Bank upon
our reorganization from a mutual holding company form of organization to a stock
holding company form of organization (?Conversion?).
We are primarily engaged in the business of planning, directing and coordinating
the business activities of our wholly owned subsidiaries: Heritage Bank and
Central Valley Bank. Heritage Bank is a Washington state-chartered commercial
bank whose deposits are insured by the Federal Deposit Insurance Corporation
(?FDIC?) under the Deposit Insurance Fund (?DIF?). During 2004, Heritage Bank
changed its charter from a savings bank to a commercial bank. Heritage Bank
conducts business from its main office in Olympia, Washington and its thirteen
